As consideration for the transaction, the definitive agreement provides that Staktek will pay stockholders of Southland $18 million in cash at closing and will assume approximately $5 million in debt. In addition, during the two-year period following closing, Southland stockholders will be entitled to receive additional consideration of $7 million in cash or shares of Staktek common stock, should certain financial growth goals be achieved.
