Ki-Bi decided to enter into the field of video over-IP conferencing solutions and approved a reverse merger whereby it issued shares of Ki-Bi to Emblaze VCON, reflecting a value of $10.8 million for Emblaze VCON. There was no cash consideration paid as part of the merger. Instead, Ordinary Shares were issued to the shareholders of Emblaze VCON Ltd.
